The announcement, released on August 18, 2026, arrived mere hours before shareholders were scheduled to vote on the company’s proposed transfer to the Singapore Exchange (SGX) Mainboard.

The legal exposure is spread across three distinct proceedings involving the company’s wholly-owned subsidiary, Koh Brothers Building & Civil Engineering Contractor (KBCE). The company faces a $20.5 million maximum exposure in a joint venture (JV) arbitration, a $23.3 million consortium arbitration, and a subcontractor lawsuit seeking between $9.18 million and $13.78 million.

Breakdown of Legal Disputes

The most immediate challenge stems from the joint venture arbitration. On August 6, the Singapore High Court dismissed applications by KBCE to set aside partial arbitration awards. Following this, the JV partner moved to the tribunal on August 7 for final payment orders. While the company estimates its maximum exposure at $20.5 million, it emphasizes that the JV account contains over $40 million in undistributed funds, which could influence the ultimate financial impact.

Separately, KBCE is engaged in a consortium arbitration concerning alleged failures to pay its share of capital injections. This dispute involves a claim of approximately $23.3 million. A hearing for this matter has been postponed, with no confirmed date yet established. Furthermore, the company and its non-executive chairman, Koh Keng Siang, are being sued by a former subcontractor for $9.18 million to $13.78 million regarding allegations of wrongful termination and conspiracy. Both parties have agreed to enter mediation, and Koh Brothers intends to file a significant counterclaim.

Financial Standing and Strategic Outlook

Despite the mounting legal challenges, management maintains that the company remains a going concern. Koh Brothers reported a net asset position of $124.7 million as of June 30, 2026. The firm expects that neither the consortium nor the subcontractor disputes will reach a final conclusion within the next 12 months, providing a buffer for its operations. Shares of Koh Brothers Eco Engineering closed at $0.114 on August 17, following a 2.6 percent decline.
