Legal Disputes Revealed Ahead of Strategic Vote

Catalist-listed construction firm Koh Brothers Eco Engineering (KBEE) disclosed three major legal disputes on August 18, 2026, exposing the company to a combined potential liability of up to S$57.6 million. The disclosure was made just hours before a scheduled extraordinary general meeting where shareholders were set to vote on the company’s proposed transfer to the Singapore Exchange (SGX) Mainboard.

The legal challenges primarily involve the company’s subsidiary, Koh Brothers Building & Civil Engineering Contractor (KBCE). The firm detailed three distinct areas of conflict: a joint venture (JV) dispute with a maximum exposure of S$20.5 million, a consortium arbitration involving S$23.3 million, and a subcontractor claim ranging between S$9.18 million and S$13.78 million.

Details of the Arbitration and Litigation

The most immediate pressure stems from a JV dispute where the Singapore High Court recently dismissed an application by KBCE to set aside partial arbitration awards. The JV partner has since moved to request final payment orders. Despite the S$20.5 million estimate for maximum exposure, the company noted that the relevant JV account currently holds over S$40 million in undistributed funds, which it suggests could mitigate the impact.

In a separate development, the company disclosed for the first time that consortium partners are seeking approximately S$23.3 million, alleging that KBCE failed to pay its share of capital injections. Additionally, a former subcontractor has initiated a lawsuit against KBCE and Koh Keng Siang, the company’s non-executive and non-independent chairman, citing wrongful termination and conspiracy. While the company has yet to make specific financial provisions for these claims, it maintains that it will file a counterclaim against the subcontractor, estimating the value to exceed the damages sought.

Going Concern and Listing Strategy

Despite the mounting legal proceedings, Koh Brothers Eco Engineering maintains that it remains a going concern. Citing a net asset position of S$124.7 million as of June 30, 2026, the company stated it does not expect the consortium and subcontractor disputes to reach definitive conclusions within the next 12 months. The firm continues to pursue its Mainboard transfer, a strategy it previously described as “timely and appropriate” to broaden its investor base and improve share liquidity.
