Spencer Spirit Holdings, Inc., the parent company behind the seasonal retail giants Spirit Halloween and Spirit Christmas, announced on August 14, 2026, that it has reached a definitive agreement to acquire Hot Topic, Inc. The deal, valued at $350 million, will see the retail conglomerate take ownership of Hot Topic’s portfolio, including the Her Universe and Box Lunch brands.
This acquisition marks a significant consolidation within the specialty retail sector. With the addition of Hot Topic’s national footprint, Spencer Spirit Holdings will operate approximately 3,000 retail locations across the United States. Despite the change in ownership, the company stated that Hot Topic, Her Universe, and Box Lunch will maintain their current headquarters in California and continue to operate as independent entities to preserve their established brand identities.
Hot Topic CEO Steve Vranes is expected to remain in his leadership role, reporting directly to Spencer Spirit Holdings CEO Steven Silverstein. The transaction is slated to close in September 2026, pending standard regulatory approvals.
The sale represents a notable divestment for Sycamore Partners, the private equity firm that acquired Hot Topic in 2013 for approximately $600 million. Industry observers note that the $350 million sale price underscores the shifting valuations of mall-based retail brands, which have faced increased pressure to adapt to changing consumer habits and the rise of e-commerce over the past decade.
